Terms of Service

Last updated: August 30, 2026

These Terms of Service ("Terms") govern your use of the Isla Portal practice management platform (the "Service") operated by Isla Advisory and Trust LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and authorized to act on behalf of yourself or your organization. Firm administrators are responsible for inviting and managing users within their tenant, and for ensuring each user's role and access level is appropriate.

2. Accounts & Access

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • Access is role-based (admin, CPA, senior staff, staff, contractor, client). You must not attempt to access data or features outside your assigned role.
  • Firm administrators may invite users, assign roles, and revoke access at any time.
  • Each tenant's data is isolated; you must not attempt to access another tenant's records.

3. Professional Services

The Service is a tool to support tax, accounting, and advisory workflows. It does not itself constitute professional tax, legal, or accounting advice. Final professional responsibility for filings, reports, and advice delivered to clients rests with the licensed CPA or firm using the Service. You must review all AI-generated content before relying on it or delivering it to a client.

4. Client Data & Responsibilities

  • You are responsible for the accuracy and completeness of client data you enter or upload.
  • You must have the necessary consent and legal authority to store and process client information, including PII and financial records.
  • You must comply with applicable laws, including IRS Circular 230, GLBA, and state privacy regulations.
  • You are responsible for obtaining engagement letters and signatures before performing services.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of professional standards.
  • Upload content that infringes third-party rights or contains malware.
  • Attempt to reverse engineer, disrupt, or circumvent security controls.
  • Share your account credentials or enable unauthorized access.
  • Export or scrape data in a manner that exceeds your authorized access.

6. Third-Party Integrations

The Service connects to third-party providers (Google, QuickBooks, DocuSeal, Stripe, CPACharge, EasyPost, AI providers). Your use of these integrations is also governed by their respective terms and policies. We are not responsible for the practices of third-party providers. When you connect your own account (e.g., Google), you authorize us to access it according to the scopes you approve.

7. Fees & Billing

Subscription fees are billed according to your selected plan. Client invoice payments are processed through your configured payment provider (Stripe, CPACharge, PayPal, Zelle, or bank transfer). You are responsible for any fees charged by third-party payment processors. Fees are non-refundable except as required by law.

8. Intellectual Property

We retain all rights to the Service, including software, design, and branding. You retain all rights to the client and business data you enter. By using the Service, you grant us a limited license to process your data solely to provide and improve the Service.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure, or that AI-generated content will be accurate or suitable for your needs.

10. Limitation of Liability

To the maximum extent permitted by law, Isla Advisory and Trust LLC shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, data, or business interruption, arising from your use of or inability to use the Service. Our total liability for any claim shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising from your use of the Service, your violation of these Terms, or your infringement of third-party rights, including claims related to client data you process.

12. Termination

You may cancel your account at any time. We may suspend or terminate access for violation of these Terms, non-payment, or to protect the Service or other users. Upon termination, your data will be removed subject to legal retention requirements.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Florida.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service. Continued use after changes constitutes acceptance of the updated Terms.

15. Contact

For questions about these Terms, contact Isla Advisory and Trust LLC through the in-app support channel or your assigned accountant.
